Conditions Of Agreement
STORAGE PANDA
SELF-STORAGE TERMS AND CONDITIONS
Important: Please read these terms carefully. They form part of your Storage Panda storage agreement.
ACCESS HOURS Monday - Friday: 6:00am - 9:00pm Saturday - Sunday: 9:00am - 5:00pm Access is subject to any more restrictive site-specific planning conditions communicated to the customer.
- PARTIES AND AGREEMENT
1.1 This Storage Licence Agreement is between Storage Panda Ltd ("we", "us", "our" or "Storage Panda") and the customer identified above ("you" or "Customer"). The storage site is the site identified in your booking confirmation ("Site"), and the allocated shipping container or other storage space is the "Unit". "Goods" means everything stored by you or anyone you authorise. "Charges" means the storage fee and any other properly payable amounts disclosed in this Agreement or the booking process.
1.2 We grant you a personal, non-transferable licence to use the allocated Unit solely to store your lawful Goods, subject to this Agreement. We do not take possession or custody of the Goods and do not operate as a warehousekeeper. This Agreement is intended as a licence, not a tenancy or lease. The legal nature of the arrangement depends on its substance, not merely its label.
1.3 You confirm that you own the Goods or have the owner's authority to store and deal with them, including under the lawful debt-recovery procedures described below. You must tell us promptly if that authority changes.
1.4 This Agreement starts on the Start Date shown above once we accept your booking. Any site-specific conditions and the booking summary supplied to you form part of this Agreement; if there is a conflict, a separately agreed written special condition prevails to the extent of that conflict.
- STORAGE PERIOD AND CANCELLATION
2.1 The initial minimum storage period is one calendar month. After that, storage continues on a rolling monthly basis until ended by either party giving at least 14 days' written notice, subject to your statutory cancellation rights.
2.2 If you are a consumer and enter this Agreement entirely at a distance (for example, online), you may have a statutory 14-day right to cancel beginning on the day after the contract is made. We will provide the required cancellation information. You can cancel by a clear statement emailed to sales@storagepanda.co.uk. If you expressly ask us to begin providing storage during the cancellation period, you may be required to pay a proportionate amount for services supplied before cancellation, to the extent permitted by law. Nothing here limits mandatory consumer rights.
2.3 By the termination date you must remove all Goods, empty and clean the Unit, remove your lock where applicable, return any keys or access devices supplied by us and pay outstanding Charges. We may charge for additional storage and reasonable, evidenced cleaning, repair or disposal costs where applicable.
2.4 We may terminate on written notice for a serious breach, illegal or dangerous activity, or a material breach not remedied within a reasonable period specified in our notice where it can be remedied. We may take immediate proportionate action to address imminent safety, security or legal risks. Ending the Agreement does not remove liabilities accrued before termination.
- STORAGE FEES, DEPOSIT AND CHANGES
3.1 The recurring storage fee and any deposit are those shown in the booking summary. Fees are payable monthly in advance on the agreed due date by the payment method accepted during booking, normally Direct Debit. The amount and whether VAT is included will be shown in the booking or invoice. We will not impose an undisclosed fee.
3.2 You must maintain a valid payment method and promptly resolve failed payments. If payment is overdue we may contact you, suspend access where lawful and proportionate, and recover reasonable, demonstrable debt-recovery costs where legally recoverable. Any specific late fee must be clearly disclosed and agreed before it is charged and must be fair and proportionate.
3.3 We may propose a change to the recurring storage fee by giving at least 28 days' written notice, stating the new fee and effective date. You may terminate without a price-change penalty before the change takes effect, notwithstanding the ordinary notice period. The revised price will not apply before the notified effective date.
3.4 We may use a deposit against properly due unpaid Charges and reasonable evidenced costs of damage, cleaning or other breaches, giving you an explanation of deductions. Any balance will be returned within 14 days after termination, the Unit is emptied, access devices returned and the final account reconciled. The deposit does not automatically replace the final month's payment.
3.5 We will not automatically forfeit your entire deposit because of a breach or insolvency. You remain liable for any properly due amount exceeding the deposit.
- ACCESS, GATE SECURITY AND AUTHORISED USERS
4.1 Normal access hours are Monday to Friday, 6:00am to 9:00pm, and Saturday and Sunday, 9:00am to 5:00pm. You may access the Site only during these hours, subject to any more restrictive site-specific planning conditions or notices communicated to you, safety closures and reasonable security rules. We may make temporary reasonable changes for safety, maintenance, emergencies or legal compliance, giving notice where practicable.
4.2 Site gates may operate through a registered telephone number or other electronic access system. You must keep your registered contact details current, protect access credentials and not share access privileges with unauthorised persons. You are responsible for people you authorise to enter, including drivers, employees, delivery companies and contractors ("Authorised Users").
4.3 You and Authorised Users must close gates as instructed, follow displayed traffic and speed rules, keep access roads and emergency routes clear, park only in permitted areas and not tailgate or allow unauthorised entry. You must not interfere with gates, CCTV, lighting, fences, alarms or other security systems.
4.4 You are responsible for locking the Unit securely after every visit and for the suitability of your own lock unless we supply a specified lock. We do not promise continuous availability of electronic gates or other access systems. Report security defects promptly.
4.5 We may request reasonable proof of identity and refuse access where there is a genuine safety, security or legal concern, or in connection with a lawful and proportionate response to overdue payments. We will not unlawfully prevent you from recovering Goods.
- PERMITTED USE AND PROHIBITED GOODS
5.1 The Unit is for storage only. It must not be used as a residence, workshop, retail premises, office, place of employment or place to operate machinery; you must not sleep in it, run utilities into it, charge batteries or vehicles inside it, or use the Site as your registered or postal business address without our prior written agreement.
5.2 You must not store: living creatures; perishable food or anything attracting pests; illegal, stolen or counterfeit goods; firearms, ammunition, explosives or fireworks; fuel, gas cylinders, flammable or combustible liquids, solvents or paints; hazardous chemicals, asbestos, toxic or clinical waste, radioactive materials; goods producing fumes, odours, leaks or infestation; or any item creating an unreasonable fire, environmental, health or security risk. Do not store cash, irreplaceable items, deeds or securities unless we have expressly agreed in writing.
5.3 Do not store waste or refuse on the Site or leave pallets, packaging, goods, vehicles or other items outside your Unit. You must remove all rubbish off-site at your expense. You must not obstruct neighbouring Units or common areas, create excessive noise or nuisance, or cause pollution or leaks.
5.4 You must not modify, drill, paint, weld, attach fixtures to or otherwise damage the Unit or Site without our prior written consent. Do not overload the floor or stack Goods unsafely. Goods must be stored so doors can be operated safely and emergency access is possible.
5.5 You must comply with applicable laws, site signage, reasonable safety instructions and the terms of any applicable insurance. You must promptly report damage, leaks, fire, attempted break-ins or suspected unlawful activity.
- CONDITION, INSPECTION AND RELOCATION
6.1 You must check that the Unit is suitable for your Goods before moving in and periodically during storage. Containers can experience temperature variation and condensation. Protect vulnerable Goods appropriately, including by keeping them off the floor and providing suitable packaging and ventilation. Report any apparent defect promptly.
6.2 We may enter the Unit on at least seven days' written notice for reasonable inspection, repairs or maintenance, unless urgent access is reasonably required for an emergency, suspected dangerous or prohibited Goods, compliance with law or a competent authority's request, or to exercise a lawful contractual remedy. We may break a lock only where reasonably necessary, and will keep a record of the reason and notify you as soon as practicable.
6.3 If reasonably necessary for maintenance, safety or operational reasons, we may offer an alternative Unit of no smaller usable size on reasonable advance notice, normally at least 14 days. We will discuss practical arrangements and reasonable relocation costs with you. If a relocation materially disadvantages you, you may end the Agreement without penalty. Emergency relocation may require shorter notice.
6.4 You are liable for loss or damage caused by you or Authorised Users through negligence, misuse or breach of this Agreement, including reasonable repair and cleaning costs, but not fair wear and tear.
- INSURANCE AND RISK
7.1 You must consider the replacement value of your Goods and arrange suitable cover unless your booking expressly confirms that a particular insurance or goods-protection arrangement applies. The fact that the Site has CCTV, gates or fencing does not mean your Goods are insured.
7.2 If insurance or goods protection is included or purchased through Storage Panda, its availability, insured or protected value, exclusions, excesses, claims procedure and governing policy or protection terms will be set out separately in the applicable summary provided to you. That document, not this clause alone, determines the cover. We do not promise cover unless it is confirmed in writing.
7.3 We are responsible for loss or damage to the extent required by law, including where caused by our negligence or breach of contract. We are not responsible for losses caused solely by inherent defects in Goods, inadequate packing, normal deterioration or circumstances beyond our reasonable control where we have taken reasonable care. Nothing in this Agreement excludes or restricts liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
7.4 Where legally permissible, we do not accept liability for purely indirect or consequential business losses that were not reasonably foreseeable when this Agreement was made. Any limitation of liability is subject to applicable law, including statutory fairness and reasonableness requirements.
- OVERDUE PAYMENTS, LIEN AND UNCOLLECTED GOODS
8.1 If Charges remain unpaid we will notify you of the amount and give you a reasonable opportunity to resolve the arrears. Subject to applicable law, we may restrict access, continue to charge agreed storage fees while Goods remain stored, and take reasonable steps to secure the Unit.
8.2 We claim a contractual lien over Goods only to the extent lawfully available to secure properly due Charges. We will not sell or dispose of Goods automatically after a fixed number of days without complying with applicable legal requirements, including any required notices under the Torts (Interference with Goods) Act 1977 and other relevant law.
8.3 Before any proposed sale or disposal, we will take reasonable steps to identify and contact you using the latest contact details supplied, give a clear written notice identifying the Goods and sums claimed, specify the proposed action and a legally sufficient deadline, and allow you to raise a genuine dispute. Any sale will be carried out in a commercially reasonable manner; reasonable lawful costs and debts may be deducted, and any net balance due to you will be accounted for.
8.4 Goods left behind after the Agreement ends are not automatically forfeited. We will follow an appropriate lawful notice and disposal process. We may promptly move items left in common areas where necessary for safety or access, taking reasonable care and keeping records. You are responsible for reasonable costs caused by your breach, where legally recoverable.
8.5 Nothing in this section authorises us to sell goods belonging to a third party where we lack lawful authority or to bypass a court order or mandatory statutory procedure.
- PRIVACY, CCTV AND COMMUNICATIONS
9.1 We process customer and access-control data to administer bookings, payments, gate access, security and legal obligations in accordance with applicable UK data-protection law. CCTV operates at the Site for security and safety. Our Privacy Notice, available through our website or on request, explains purposes, retention periods and your rights.
9.2 You must keep your postal address, email, telephone number and authorised-access details accurate and tell us promptly of changes. We may send routine operational messages by email, SMS or through your Storeganise account where available.
9.3 Formal notices under this Agreement must be in writing and may be delivered by email to your last notified email address or to sales@storagepanda.co.uk for notices to us, or by post to the notified correspondence address. Notices are treated as received when actually delivered or, absent evidence of delivery failure, on the next working day after email transmission or two working days after first-class posting. This does not replace any stricter statutory service requirement for sale of Goods or other legal action.
- GENERAL TERMS AND DISPUTES
10.1 You must not assign this Agreement or sublet or transfer the Unit without our written consent. We may transfer our business or contractual rights where lawful, with appropriate notice and without reducing your statutory rights.
10.2 We may make reasonable changes to operational rules for safety or compliance and will notify you of material changes. Other material contractual changes will be notified at least 28 days before they take effect, with an opportunity to terminate without a change-related penalty.
10.3 If a provision is unenforceable, the remaining provisions continue to apply to the extent legally possible. Delay in enforcing a right does not necessarily waive it. Nothing limits rights that cannot legally be excluded.
10.4 This Agreement is governed by the law of England and Wales. We encourage you to contact us first to resolve complaints promptly; either party may use mediation by agreement, but mediation is not a mandatory barrier to statutory rights or court proceedings. Courts of England and Wales have jurisdiction subject to mandatory consumer protections.
10.5 The booking summary, this Agreement and any written special terms comprise the agreement between us, without excluding liability for misrepresentation or statutory rights.
BOOKING DETAILS The customer name, unit number, site, start date, monthly storage fee and any deposit are recorded in the booking confirmation and form part of the agreement.
CUSTOMER ACCEPTANCE The customer accepts these terms when entering into the storage agreement, including by electronic signature or other accepted booking process. Content
